Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective February 15, 2021, to support short term initiatives regarding management of expenses, Biostage, Inc. (the “Company”) and Dr. William Fodor, the Company’s Chief Scientific Officer, mutually agreed to a temporary reduction of Dr. Fodor’s base salary by fifty percent (50%) to $152,500.
