EXPLANATORY NOTE

 

Bionik Laboratories Corp. (the “Registrant”) is filing this Amendment No. 6 (this “Amendment”) to its Registration Statement on Form S-1 (Registration No. 333-228044) for the sole purpose of amending Item 16 of Part II of the Registration Statement to file Exhibit 4.7 (Form of Warrant Agent Agreement by and between the Company and VStock Transfer, LLC and Form of Warrant Certificate for Registered Offering). No change is made to the preliminary prospectus constituting Part I of the Registration Statement or Items 13, 14, 15, 16(b) or 17 of Part II of the Registration Statement.
