Explanation of Responses:
(1)	Each share of Series D Convertible Preferred Stock is immediately convertible into Common Stock of the Issuer. The shares of Series D Convertible Preferred Stock were issued on September 15, 2021 in connection with the satisfaction and cancellation of convertible notes issued to the reporting person.
(2)	Represents performance shares that were earned pursuant to the terms of a performance share award granted on May 26, 2023, upon ratification by the Board of Directors of the Issuer of the performance results for the period ending December 31, 2022.
(3)	The shares are held indirectly through Lancaster Brazil Fund LP, Lancaster Gestora de Recursos Ltda and Sainte Valiere, LLC. Each of the entities are controlled by the reporting person.
