Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 27, 2010 Jim Kohler and Tim Adair each tendered their respective resignations as members of the board of directors of Bekem Metals, Inc. (the “Company”) effective immediately.  To the knowledge of the Company and its executive officer neither the resignation of Mr. Kohler nor the resignation of Mr. Adair were the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.  Copies of the resignation letters of Mr. Kohler and Mr. Adair are attached as exhibits to this Current Report on Form 8-K.
