Item 8.01.

Other Events.

At its meeting on May 24, 2021, the Board of Directors of the Company declared a quarterly cash dividend of $0.10 per share for the holders of its common stock and a dividend payment to the holders of the Company’s 5.50% Fixed Rate/Floating Rate Noncumulative Preferred Stock, Series A. The Company issued a press release on May 28, 2021 regarding the dividend payments. The dividends will be paid on June 30, 2021 to shareholders of record on June 15, 2021.

A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
