Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of October 20, 2017, Greg Whyte, age 50, was appointed as director of the Company to fill the vacancy left upon the resignation of its former director. Mr. Whyte is a well-known authority on Exercise Physiology and Sports and Exercise Performance. An internationally recognized expert in the field, Greg has extensive professional experience assessing, treating and improving the performance of patients, sporting enthusiasts and athletes. Mr. Whyte has not been affiliated with any company that has filed for bankruptcy within the last five years. He does not have any familial relationships with any other directors or executive officers of the Company. There were no transactions since January 1, 2016, or any proposed transactions, to which the Company was or is to be a party, in which Mr. Whyte had or is to have a direct or indirect material interest.

 

There is currently no arrangement or agreement regarding the compensation of Mr. Whyte.
