     (b) On May 21, 2008, Peter M. Zollman, Michael Jackson and Michael Dubreuil resigned as Directors of AdStar, Inc. (“AdStar”). Management believes that the resultant reduction in director compensation expense further supports cost-cutting measures implemented and to be implemented by AdStar.
