Directors' Shareholdings


The Company has today been informed of the following transactions by WRC Renand
SA ("Renand"):

On 4 December 2003, Renand sold 10,000 Ordinary 1p shares in the Company
("Shares") at 38p per share and on 5 December 2003, Renand sold 25,000 Shares at
35.5p per share.

JMBT Wheatley and DMDA Wheatley, Directors of the Company, have an interest of
46% and 20% respectively in Renand, a Swiss company, and these transactions were
undertaken as part of the winding up of Renand's operations and its liquidation.

Following these transactions, JMBT Wheatley's and DMDA Wheatley's interests in
the Company are as follows:

JMBT Wheatley: 6,265,000 Shares (18.93%)
DMDA Wheatley: 2,139,760 Shares (6.47%)

In addition to the above interests, JMBT Wheatley and DMDA Wheatley together
with GFMT Wheatley hold 255,000 Shares (0.77%) in a family trust, each of them
being a trustee and potential beneficiary of the trust; a further 172,000 Shares
(0.52%) are also held in a retirement benefit scheme in which JMBT Wheatley has
a beneficial interest.
