                       POSSIBLE OFFER AND CURRENT TRADING

Martin Shelton Group Plc ("Martin Shelton") announces that it is in discussions
with a number of parties that may or may not lead to an offer being made for the
Group's entire issued share capital. These discussions are still at an early
stage. A further announcement in relation to this will be made in due course.

The directors of Martin Shelton also announce that trading in the second half of
the year to 31 March 2004 has been disappointing and below their expectations.
Excluding the Leathergoods business which was disposed of in September 2003, the
directors do not expect turnover for the continuing business for the year to 31
March 2004 to exceed levels recorded during the year ended 31 March 2003.
