                        Low & Bonar PLC ("Low & Bonar")

                    Result of Extraordinary General Meeting

At the Extraordinary General Meeting of Low & Bonar held earlier today, the
resolutions put to Shareholders set out in the circular dated 29 January, 2003
relating to the proposed acquisition of the carpet tile division of Gaskell plc
(the "Acquisition") and the proposed new long term incentive plan were duly
passed.

Earlier today the shareholders of Gaskell plc also voted in favour of the
Acquisition. Completion of the Acquisition is expected to take place on 21
February, 2003.
