 Notice of call for a shareholder resolution regarding Repurchase of own shares

        (Repurchase of shares under Article 210 of the Commercial Code)



            Autobacs Seven Co., Ltd. announced that the Board of Directors of
the Company resolved on May 21, 2003, to call for a resolution of its
shareholders at the Annual General Meeting scheduled to be held on June 26, 2003
regarding repurchase of its own shares.



1        Reasons for asking for authorization of repurchase of its shares

          In order to establish the system in which its shares can be
repurchased when necessary as a managerial option, from the viewpoint of
pursuing flexible management that responds to changing business conditions.



2       Matters concerning repurchase

(1)     Kind of shares to be repurchased                            Shares of common stock of the Company

(2)     Aggregate number of shares to be repurchased                Up to 1,000,000 shares

(3)     Aggregate purchase price of shares                          Up to JPY 4,000,000,000

The above repurchase of own shares is subject to the approval of the
shareholders at the Annual General Meeting scheduled to be held on June 26,
