      Repurchase of All the Shares of Kabushiki Kaisha Tama Driving School


Please be advised that we have reached a basic agreement with Kabushiki Kaisha
Tama Driving School, concerning the purchase of all the shares of Kabushiki
Kaisha Tama Driving School:



1    Purpose of Share Purchase


Our group is moving beyond its niche as ''a retailer of automobile-related
products'', evolving into ''a total car-life support business''.  By entering
into the driving school business, we intend to enhance our position in ''a total
car-life support business'', as well as aiming at the synergistic effect on
existing business.


2.      Outline of Purchase


We intend to purchase 100% of the total number of issued shares of Kabushiki
Kaisha Tama Driving School from the existing shareholders of Kabushiki Kaisha
Tama Driving School.


3.      Details of shares to be purchased from the existing shareholders

3)      Number of shares to be purchased    100,000 shares



4)      Aggregate purchase price           The purchase price is determined by
