Each share of phantom stock was deemed invested in one share of W. R. Berkley Corporation (the "Company") common stock pursuant to the terms of the Company's Deferred Compensation Plan for Directors (the "Plan"). In connection with the amendment and restatement of the Plan and the transfer of its administration, the reporting person's shares of phantom stock were settled for cash as of December 1, 2021.
