Willington plc announces that its wholly owned subsidiary, The White Sea and
Baltic Company Limited ("WSB"), completed an agreement on Friday 14 November
with Taiko Marketing (S) Pte Ltd ("Taiko"), a company incorporated in Singapore,
to sell to Taiko the entire share capital of its subsidiary, F Holm Chemie
Handels GmbH ("Holm") (the "Disposal").

Holm is based in Hamburg and formed part of the Willington group's Distribution
Division, as a distributor of speciality chemicals in Continental Europe.
Holm's profit after tax for the year ended 31 December 2002 was #39,000.

The consideration for the Disposal is Euro 518,000 (approximately #350,000) in
cash, which was settled at completion. The net proceeds of approximately Euro
490,000 (#335,000) will be utilised to reduce Willington group borrowings. The
net proceeds represent a surplus of some #65,000 over the net tangible assets of
Holm as at 31 December 2002 of #270,000.

The transaction is subject to the usual warranties, but the liability of WSB
under these warranties shall in no circumstances exceed the consideration
payable pursuant to the Disposal.
