Explanation of Responses:

(1)

This line is being amended to show that the Reporting Person's total direct beneficial ownership of the issuer's Class A Common Stock as of November 22, 2019 was 25,000 shares, instead of 10,000 shares. The additional 15,000 shares also were omitted from the Form 4 filed by the Reporting Person on November 27, 2019. Accordingly, following the Reporting Person's November 25, 2019 acquisition reported on such Form 4, the Reporting Person directly held 40,000 shares.
