( 1)	On September 15, 2011, the Reporting Person was appointed to serve on the Board of Directors of the Issuer.
( 2)	Mr. Grellier is the direct beneficial owner of 2,432 shares of Common Stock of the Issuer that he holds jointly with his wife, Alison Cox, and the indirect beneficial owner of 195 shares of Common Stock that are held in the name of Alison Cox, as custodian for three accounts under the UTMA/UGMA for the benefit of Mr. Grellier's minor children.
