Item 1.01 Entry into a Material Definitive Agreement.

On September 26, 2007, Tier Technologies, Inc. ("Tier") and its wholly owned subsidiaries, Official Payments Corporation and EPOS Corporation, entered into a Second Amendment to Amended and Restated Credit and Security Agreement with City National Bank (the “Amendment”), which amended the March 6, 2006 Amended and Restated Credit and Security Agreement with City National Bank, (the “Agreement”).  Among other things, the Amendment, extended the termination date of the Agreement until September 30, 2008 and reduced Tier’s line of credit under the Agreement from $10.0 million to $7.5 million.

The foregoing description of the Amendment is not complete and is qualified in its entirety by reference to the Amendment, which is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
