Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 10, 2009, Tier Technologies, Inc. and Kevin C. Connell agreed that Mr. Connell would cease to serve as Senior Vice President, Sales and Marketing, effective February 10, 2009.  Pursuant to his Employment Agreement dated August 9, 2007, Mr. Connell is entitled to the severance benefits set forth in Section 11(c) thereof in exchange for his execution of a Separation Agreement and General Release.
