NEWPORT BEACH, Calif., April 3 /PRNewswire-FirstCall/ -- Sybron Dental Specialties, Inc. (NYSE:SYD) announced today that its subsidiary Pinnacle Products, Inc. acquired the infection prevention product line of Dental Disposables International, Inc. (DDI), through an all-cash transaction. DDI's product line includes Allrap(R) infection control barriers, Googles(TM) full face shield, and Slip-N-Grip(R) dental chair covers. Established in 1990, DDI generated annual revenues of approximately $5 million in 2005. Expected benefits of the transaction include the following: * The addition of highly recognized brand names to Sybron's portfolio of infection prevention products * Increased sales opportunities for the DDI products by using Sybron's more extensive sales and marketing resources and taking advantage of its greater presence among the dental distributors "We are very pleased to further strengthen our infection prevention business with the acquisition of the DDI product line," said Floyd W. Pickrell, Jr., Chief Executive Officer of Sybron Dental Specialties. "We believe this transaction is very similar to those acquisitions that have been the most successful for us in the past. It is in an area of the dental market that we know well and will enable us to realize excellent synergies with our existing infrastructure. We intend to consolidate DDI's operations into our own facilities, sell its products through our distribution network and eliminate redundant expenses, which we expect will have a positive impact on both revenue growth and operating margin from these product lines. The infection prevention business continues to be a growth driver for Sybron." The Company expects the acquisition to be accretive to earnings within the first year of combined operations. BUSINESS DESCRIPTION Sybron Dental Specialties and its subsidiaries are leading manufacturers of both a broad range of value-added products for the dental profession, including the specialty markets of orthodontics, endodontics and implantology, and a variety of infection prevention products for use by the dental and medical professions.
