Item 5.02.                                           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On October 28, 2010, Smurfit-Stone Container Corporation (the “Company”) issued a press release announcing that Craig A. Hunt, has been promoted to serve as the Company’s Chief Administrative Officer and General Counsel, effective November 1, 2010.

 

Pursuant to his new position, Mr. Hunt will receive an increase to his annual base salary from $408,500 to $460,000. The remaining terms of Mr. Hunt’s employment agreement remain unchanged. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
