This Registration Statement registers additional securities of the same class as other securities for which the registration statement filed on Form S-8 (SEC File No. 333-265318) of TMC the metals company Inc. (the “Registrant”) is effective. The additional securities are 2,668,121 additional Common Shares of the Registrant reserved for issuance under the 2021 Employee Stock Purchase Plan as a result of the automatic increase in the number of shares reserved under this plan on January 1, 2023.
