Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     Effective October 6, 2007, Fernando Cloppet will step down from his position as Executive Vice President and Commercial Banking Director of Santander BanCorp (the “Company”). Mr. Cloppet has relocated to Spain and has accepted a position with Banco Santander, S.A., the parent of the Company.
