Rent-Way Files Registration Statement With Securities and
Exchange Commission
Announces Third Quarter 2004 Earnings Release Date 


ERIE, Pa., July 8  /PRNewswire-FirstCall/ -- Rent-Way, Inc. (NYSE:RWY) today
announced the filing of a registration statement on Form S-8 with the
Securities and Exchange Commission.  The registration statement covers up to
1.7 million shares of common stock that may be issued on the exercise of
options granted under the company's 2004 Stock Option Plan.  The 2004 Stock
Option Plan was approved by the company's shareholders at the annual meeting
held on March 10, 2004.

The company also announced the filing of a shelf registration statement on Form
S-3 on June 18, which covers shares of common stock issuable on conversion of
an additional $5 million of the company's Series A convertible preferred stock.
 This additional Series A preferred stock was issued pursuant to the exercise
of an option granted in connection with the company's initial sale in June 2003
of $15.0 million of the Series A convertible preferred stock.  The shelf
registration statement was filed in order to comply with the company's
obligations under a registration rights agreement with the holders of the
Series A preferred stock.

Rent-Way also announced that it will host a conference call in connection with
the release of its financial results for its third quarter ended June 30, 2004.
 The call will take place at 4:30 p.m. Eastern time on Thursday, July 29.
