Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 4, 2020, Mr. Matthew L. Ostrower, a director of Retail Value Inc. (the “Company”), confirmed to the Company in writing his decision to resign from the board of directors of the Company (the “Board”) in connection with other obligations relating to his recent departure from the employment of SITE Centers Corp., the Company’s manager. Mr. Ostrower’s resignation was effective immediately. Mr. Ostrower confirmed to the Board that his resignation was not due to a disagreement with the Company.
