Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

(b)    As previously disclosed, Frank Addante’s employment agreement with The Rubicon Project, Inc. (the “Company”) expired on June 30, 2018, and Mr. Addante’s employment with the Company has now terminated. Mr. Addante remains on the Company’s board of directors as a Class I director.
