Item 1.01    Entry into a Material Definitive Agreement.

On March 12, 2021, certain consolidated subsidiaries of Rocket Companies, Inc., including QL Ginnie EBO, LLC, as Seller, QL Ginnie REO, LLC, Quicken Loans, LLC, as Guarantor (the “Company”), and JPMorgan Chase Bank, National Association, as Buyer (“JPM”), amended the early buy out facility entered into by QL Ginnie EBO, LLC, QL Ginnie REO, LLC, and the Company with JPM to, among others, increase the maximum facility amount to $2.6 billion (the “Amendment”).

Following the execution of the Amendment, as of March 12, 2021, the total funding capacity of the Company, including pursuant to all master repurchase agreements, early funding facilities, unsecured lines of credit, MSR lines of credit and early buy out facilities, was $31.40 billion. This figure compares with $29.30 billion and $19.13 billion as of December 31, 2020 and December 31, 2019, respectively.
