August 2 Webcast Will Discuss RJR Second Quarter Earnings; Plans
for Reynolds American Inc. 


WINSTON-SALEM, N.C., July 20  /PRNewswire-FirstCall/ -- A conference call will
be webcast on Monday, Aug. 2, 2004, at 9:30 a.m. Eastern Daylight Time
following the release that morning of the second-quarter financial results for
R.J. Reynolds Tobacco Holdings, Inc. (NYSE:RJR).

As previously announced, RJR is scheduled to hold a special meeting on July 28
for stockholders to vote on the proposed combination of R.J. Reynolds Tobacco
Company and the U.S. business of Brown & Williamson Tobacco Corp. (B&W). 
Assuming the receipt of stockholder approval of the proposed combination, RJR
expects that transaction, and the establishment of Reynolds American Inc. as a
publicly traded holding company (NYSE:RAI), to be completed by the end of July.

Members of the new Reynolds American management team will be on the call to
discuss RJR's second-quarter results, provide an update on the integration of
the two tobacco operating companies, and discuss initial plans for Reynolds
American.
