Explanation of Responses:

(1)

Resolute Forest Products Inc. (the "Company") awarded to the reporting person 23,734 restricted stock units, each an "RSU". Each RSU represents the right to receive the economic equivalent of one share of Company common stock in cash upon settlement. Twenty five percent of the awarded RSUs will vest on the last day of each calendar quarter in the current fiscal year. Generally, the vested RSUs will settle in cash in equal installments on March 31 of the years 2020, 2021 and 2022 (with earlier settlement in the case of the reporting person's death, disability or termination of service).
