ITEM 8.01.

OTHER EVENTS.

On January 3, 2019 (the “Closing Date”), Resolute Forest Products Inc. (the “Company”) repurchased $225.0 million aggregate principal amount of the Company’s existing 5.875% Senior Notes due 2023 (the “Notes”) pursuant to the previously disclosed Notes Purchase Agreement entered into on December 21, 2018 among the Company and certain noteholders, at a purchase price equal to 100.00% of the principal amount thereof, plus accrued and unpaid interest to, but not including, the Closing Date. After giving effect to the repurchase, $375.0 million aggregate principal amount of the Notes remains outstanding.
