Explanation of Responses:
(1)	This amended Form 4 is being filed to correct an error in the calculation of the number of Stock Appreciation Rights ("SARs") awarded to the reporting person May 10, 2017. The original Form 4 filed on May 11, 2017 reported 1,093 SARs awarded.
(2)	Granted as stock-settled SARs under the 2013 Equity Incentive Plan. The SARs vest and become exercisable 40% on the second anniversary, 60% on the third anniversary, 80% on the fourth anniversary and 100% on the fifth anniversary of the date of the grant.
