Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 1, 2016, Sam Gilliland, Lead Director and a Class II Director of Rackspace Hosting, Inc. (the "Company"), provided notice to the Company that he is commencing a new role with a firm requiring his resignation from the Board effective immediately following the Company's 2016 annual stockholder meeting. Mr. Gilliland’s decision is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
