Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 18, 2015, S. James Bishkin and Mark P. Mellin, both Class I Directors, provided notice to the Company that they have decided not to run for reelection at the next annual meeting of the Company’s stockholders which is expected to be held in May of 2015. Both directors noted their desire that fresh perspectives and viewpoints continue to guide the Company at the Board of Directors level, as well as their extended tenures, as the bases for their decisions.
