Explanation of Responses:

(1)

Represents the settlement of 33% of the LTIP RSUs in shares of common stock of ProSight Global, Inc. ("PGI"). These LTIP RSUs were granted on July 25, 2019, in connection with PGI's initial public offering. 33% of the RSUs vested on the one-year anniversary of the grant date. 33% will vest on the second anniversary of the grant date and 34% will vest on the third anniversary of the grant date, in each case subject to the grantee's continued employment through each such date.
