Prime Mansur Announces it is Immediately Instituting Litigation
Against Prime Group Realty Trust Asserting its Rights Under Current Merger
Agreement 


CHICAGO, Dec. 8  /PRNewswire/ -- Prime/Mansur announced today that its
attorneys, Skadden, Arps, Slate, Meagher & Flom LLP, are instituting litigation
immediately against Prime Group Realty Trust (NYSE:PGE) asserting its rights
under the current merger agreement.

E. Barry Mansur, controlling shareholder of Prime/Mansur said today, "Prime has
wrongfully attempted to terminate our jointly executed Merger Agreement which
continues to be in effect."

"Pursuant to the Merger Agreement, on November 9, 2004, Prime/Mansur supplied a
firm financing commitment for $122 million of acquisition financing which fully
complied with the terms of the Merger Agreement and was consistent with all
previous discussions with the company and its legal counsel."

According to Mansur, the parties continue with ongoing negotiations to resolve
their differences and complete the merger transaction.
