Explanation of Responses:

(1)

The Reporting Person was granted Restricted Stock Units ("RSUs") which represent a contingent right to receive one share of Class A Common Stock for each RSU. The RSUs are subject to a service-based vesting requirement, which shall be satisfied over a three-year period, with (i) one-third of the RSUs vesting on March 15, 2022, (ii) one-third of the RSUs vesting on March 15, 2023 and (iii) one-third of the RSUs vesting on March 15, 2024, subject to the Reporting Person's continuous service with the issuer on each vesting date.
