This communication contains English translations of notices submitted to the Argentine National Securities Commission ( Comisión Nacional de Valores , or the “ CNV ”) through which Nortel Inversora S.A. (“ Nortel ”) submits (i) a summary of the resolutions adopted at the Common Shares Special Stockholders’ Meeting held on November 10, 2017, and (ii) a summary of the resolutions adopted at the Class B Preferred Shares Special Stockholders’ Meeting held on November 10, 2017. At the meetings shareholders of Nortel approved the proposed absorption by Telecom Argentina S.A. (“ Telecom ”) of Nortel, Sofora Telecomunicaciones S.A. and Telecom Personal S.A. (the “ Reorganization ”).
