On March 10, 2011, 99 ¢ Only Stores (the “Company”) issued a press release announcing that its board of directors has received a proposal from members of the Schiffer/Gold family and Leonard Green Partners, L.P. (“LGP”) to acquire the Company.  A copy of the Company’s press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 8.01 by reference.  A copy of the proposal letter is filed as Exhibit 99.2 to this Current Report on Form 8-K and incorporated herein by reference.
