Item 8.01. Other Events.

     At a special meeting held on December 23, 2008, the stockholders of National City Corporation (“National City”) approved the merger between The PNC Financial Services Group, Inc. (“PNC”) and National City pursuant to an Agreement and Plan of Merger (the “Merger Agreement”), dated as of October 24, 2008, under which National City will be merged with and into PNC. At a separate meeting on the same date, the shareholders of PNC approved the issuance of PNC common stock as contemplated by the Merger Agreement. The transaction is expected to close by the end of 2008.

     The related news release is attached hereto as Exhibit 99 and incorporated herein.
