SANTA ANA, Calif., Oct. 6  /PRNewswire-FirstCall/ -- MSC.Software Corp.
(NYSE:MNS) today announced that its Board of Directors has formed a committee
of the Board consisting solely of the independent directors, to consider the
unsolicited letter from ValueAct Capital Partners, L.P.  The company is
retaining a financial advisor to assist the committee with respect to the
unsolicited letter.
