Director's Shareholding



MacLellan has been notified that on 2 June 2003, Southwind Limited transferred
for no consideration its entire shareholding of 4,631,933 ordinary shares
(amounting to 6.1% of the issued ordinary share capital of the Company) to
Seraffina Holdings Limited.



Southwind Limited is a company owned by a trust set up by Mr A L R Morton
(Chairman of the Company) for the benefit of his minor children.  Seraffina
Holdings Limited is a company owned by a trust for the benefit of his adult son,
Charles N Morton.



Following this transaction, Seraffina Holdings Limited is interested in
4,631,933 ordinary shares (representing 6.1% of the issued ordinary share
capital) and Mr A L R Morton is interested in 256,753 ordinary shares
(representing 0.33% of the issued ordinary share capital).
