                              THE MALCOLM GROUP PLC

                               Board Announcement

The Board of The Malcolm Group plc today announces that Sir Donald MacKay aged
66, will retire as Chairman, following the Annual General Meeting to be held on
20th June 2003.

He will be succeeded as Chairman by David Mackay aged 59 (no relation), who
joined the Board on 21st June 2002 as a Non Executive Director.

David Mackay is currently Chief Executive of Menzies Group plc, a position from
which he will retire in May 2003, after nearly forty year's service with that
Group.
