Explanation of Responses:
(1)	Represents the number of shares withheld by the Issuer to satisfy the tax withholding obligations incurred by Mr. Dowdy as a result of the partial vesting of the Restricted Stock Award (hereinafter defined).
(2)	As previously disclosed, Mr. Dowdy was granted 377,259 restricted shares of the Common Stock under a restricted stock award (the "Restricted Stock Award"), pursuant to the Danimer Scientific, Inc. 2020 Long-Term Incentive Plan.
(3)	These shares are owned by the John Adams Dowdy, III Living Trust.
(4)	The Reporting Person disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest he may have therein, directly or indirectly.
