On October 6, 2010, Landry’s Restaurants, Inc. (the "Company") issued a press release announcing the closing of the transactions contemplated by the Agreement and Plan of Merger, dated as of November 3, 2009, as amended on May 23, 2010 and June 20, 2010, among the Company, Fertitta Group, Inc., Fertitta Merger Co. and, for certain limited purposes, Tilman J. Fertitta. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
