Explanation of Responses:
( 1)	Acquired on September 30, 2013, as a result of reporting person's previous election to receive accruals of additional phantom shares as a result of dividends paid on phantom shares of Kaydon common stock owned at the beginning of the fiscal quarter, at $35.52 per share, the closing price of Kaydon common stock on September 30, 2013. Shares of phantom stock are payable in cash or shares of Kaydon common stock on any January 1st, but if no specific election is made, then the amounts deferred for that year will be paid on the January 1st following the board member's separation from service.
( 2)	Each share of phantom stock is the equivalent of one share of common stock.
( 3)	Phantom shares have no specific date of exercisability nor any specific expiration date.
