ITEM  5.02	Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January   6 , 201 7 , Kadmon Holdings, Inc. (the “Company”) and Zhenping Zhu, M.D., Ph.D., the Company’s Executive Vice President, Biologics ,   agreed that, effective immediately, his employment with the Company will terminate.
