Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 25, 2024, Kevin Lilly, Executive Vice President, Global Transformation, notified JELD-WEN Holding, Inc. (the “Company”) of his decision to retire from the Company. Mr. Lilly will remain with the Company until January 3, 2025. Mr. Lilly’s retirement is not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
