HONG KONG, March 4  /PRNewswire-FirstCall/ -- Jilin Chemical Industrial Company
Limited (HKSE: 0368, NYSE: JCC) (the 'Company') held the Board meeting on
March 3, 2004. The following resolutions were passed:

The Company shall hold its first Extraordinary General Meeting of 2004 on April
20, 2004 to consider and, if thought fit, approve the following resolutions:

  -- 1. To elect members of the 4th Board of Directors of the Company for a
        term of three years with effect from April 20, 2004;
  -- 2. To elect members (representatives of shareholders) of the 4th
        Supervisory Committee of the Company for a term of three years with
        effect from April 20, 2004.
