The International Securities Exchange, Inc. (NYSE: ISE)
said today that, at some time following the public release of its
results for the third quarter of 2005, it plans to file with the
Securities and Exchange Commission a registration statement for an
offering of shares of its Class A common stock by certain stockholders
and management in an underwritten secondary public offering. ISE will
not receive any proceeds from the sale of the shares.
The offering is currently expected to commence during the fourth
quarter of 2005 or first quarter of 2006, subject to the SEC declaring
the registration statement effective and the receipt of all necessary
approvals.
This announcement shall not constitute an offer to sell or the
solicitation of an offer to buy any securities described herein, nor
shall there be any sale of these securities in any state or
jurisdiction in which the offer, solicitation or sale would be
