GTECH Holdings Corporation Announces Exchange Offer for Senior
Notes
WEST GREENWICH, R.I., April 20 /PRNewswire-FirstCall/ -- GTECH Holdings
Corporation (NYSE:GTK) today announced that it has commenced exchange offers
for all of its outstanding 4.50% Senior Notes due 2009, and all of its
outstanding 5.25% Senior Notes due 2014. Both series of notes were originally
issued in November 2004 under Rule 144A of the Securities Act of 1933. Holders
of either series of notes may exchange their notes for a new issue of notes
pursuant to an effective registration statement on Form S-4 filed with the
Securities and Exchange Commission. Terms of the new notes will be
substantially identical to the notes of the series being exchanged, except that
the transfer restrictions and registration rights applicable to the original
notes will not apply to the new notes.
The exchange offers will expire at 5:00 p.m., Eastern Time, May 18, 2005,
unless extended. Tenders of the original notes must be made on or prior to the
expiration of the applicable exchange offer, and may be withdrawn at any time
on or prior to the expiration of the applicable exchange offer.

exchange offers, including the related transmittal materials for use in making
