Item 8.01. Other Events.
On January 31, 2024, Flame filed a definitive proxy statement (the “Proxy Statement”) for the solicitation of proxies in connection with a special meeting of the Company’s stockholders, to be held on February 12, 2024, to consider and vote on proposals to approve, among other things, the Business Combination.
Pursuant to the Flame certificate of incorporation, a holder of public shares has the right to demand that Flame redeem such shares for cash if the Business Combination is consummated. A public stockholder will be entitled to receive cash for any public shares to be redeemed only if they completed the procedures for electing to redeem their public shares in the manner described in the Proxy Statement prior to 5:00 p.m., Eastern Time, on February 8, 2024 (the “Redemption Deadline”).
As of the Redemption Deadline, public stockholders holding 150,823 shares of Class A Common Stock (representing 2.47% of the total outstanding shares of Class A Common Stock held by public stockholders) exercised their right to redeem those shares for a pro rata portion of the funds in Flame’s trust account (the “Trust Account”). As a result, approximately $1,573,962.89 (approximately $10.44 per share) will be removed from the Trust Account in satisfaction of the redemptions, and the remaining balance of the trust account immediately following that payment will be approximately $62.2 million.
